Terms of Service

The terms governing your use of VDrive Private Hire's website, hire services and partner programme.

Last updated: 27 October 2026  ·  These terms are kept under regular review. We recommend you have your own legal adviser review them before relying on them as a partner or hirer.

Existing agreements: this update does not retrospectively replace a signed Hire Agreement, change an agreed price or reopen a settled partner cycle. Variations must follow your contract and the notice requirements in section 21.

Quick summary. VDrive Private Hire is a UK private hire vehicle (PHV) rental and fleet-management business based in Kidderminster. We hire PCO/PHV-licensed vehicles to qualified drivers and we manage vehicles on behalf of partner companies (check-out, check-in, payments, PCNs, enforcement and reporting). The detail below explains how the relationship works for both drivers and partners.

1. Definitions

  • "VDrive Private Hire", "we", "us", "our": VDrive Private Hire, company number 17177362, trading from 78 Mill Street, Mill Lane, Kidderminster, DY11 6XJ, with registered office at Paymal House, Stepney Way, London, United Kingdom, E1 3HR. The rental company named on a partner-branded Hire Agreement may be the relevant Partner.
  • "Hirer" / "Driver" / "you": the individual who hires a vehicle from VDrive Private Hire under a hire agreement.
  • "Partner": the UK-registered company (limited company or LLP, registered at Companies House) which owns one or more vehicles and appoints VDrive Private Hire to manage them on its behalf under our partner programme. Sole traders and individual owners are not eligible for the partner programme.
  • "Vehicle": any motor vehicle made available for hire through VDrive Private Hire, whether owned by VDrive Private Hire or by a Partner.
  • "Hire Agreement": the standalone vehicle hire contract signed at vehicle collection, including any expressly agreed subsequent variation. The Hire Agreement, together with these Terms, forms the contract between the named rental company and the Driver.
  • "PCO/PHV Licence": a Private Hire Vehicle driver's badge issued by Transport for London (TfL) or by a UK local licensing authority.
  • "PCN": a Penalty Charge Notice, Fixed Penalty Notice, congestion charge, ULEZ/clean-air-zone charge, parking charge, bus-lane charge, dart charge, speeding notice, or any similar contravention notice.
  • "Hire Period": the period from the date and time the Vehicle is collected to the date and time it is returned and signed in.
  • "Council": the local licensing authority (e.g. TfL, Birmingham City Council, Wolverhampton, etc.) responsible for licensing the Vehicle and/or the Driver.

2. Agreement to Terms

By accessing or using VDrive Private Hire's website, applying for a vehicle hire, or registering as a Partner, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These Terms apply alongside (and do not replace) any signed Hire Agreement or signed Partner Agreement.

3. Eligibility

To hire a Vehicle from VDrive Private Hire, you must:

  • Be at least 21 years of age (some vehicles require 25+);
  • Hold a full UK driving licence with no disqualifying endorsements, held for the period required by our fleet insurer (typically 12 months minimum);
  • Hold a valid PCO/PHV badge issued by a UK licensing authority;
  • Provide proof of address dated within the last 3 months (utility bill, bank statement or council tax letter);
  • Have the right to live and work in the UK and be willing to evidence it;
  • Pass our identity, document and DVLA-check verification;
  • Have no outstanding hire debts, vehicle recoveries, or active rental ban with VDrive Private Hire or a known partner business.

4. Application & Identity Verification

You must upload clear copies of your identity, address, driving licence, PCO/PHV badge and any insurance documents during application. We may run further checks (DVLA, fraud-prevention databases, social-media presence in some cases). We reserve the right to decline any application without giving reasons. Approval is normally communicated within 1–3 working days. Approved applicants are invited to attend collection by appointment. See section 4A for how to lock a specific vehicle online while your application is being reviewed.

4A. Online Reservation: First Week's Rent

Once you have a registered, approved customer account, you may reserve a specific vehicle online before collection by paying your first week's rent for that vehicle through our payment processor (Stripe Checkout). This payment secures the vehicle and counts as Week 1 of your hire. The following terms apply to that payment:

  • What it does. Successful payment locks the vehicle to you only. No other customer can be checked out into that vehicle while your reservation is live.
  • Counts as your first week's rent. The rent component pays for Week 1, not the security deposit. Any selected insurance and online payment adjustment are shown separately before payment. The deposit is collected separately at checkout; subsequent rent is due in advance from Week 2 under section 6.
  • One vehicle, one paying customer. In the rare event two customers pay for the same vehicle simultaneously, the first confirmed payment wins. The second payment is automatically marked for refund and the customer is notified.
  • Non-refundable on customer cancellation, no-show or failed later checks. Once you have paid, your first week's rent is non-refundable if (a) you cancel before collection for any reason, (b) you fail to attend the agreed collection appointment (no-show), (c) you change your mind, or (d) you fail any later identity, document or eligibility check that prevents the hire from going ahead. This payment compensates us for taking the specific vehicle off the open market for you, declining other waiting customers for that vehicle, and the administrative work of progressing your file. By paying it you accept this and accept that it is the agreed measure of our loss in those circumstances.
  • Refunded in full when the reason is on us. Your first week's rent will be refunded in full to the original payment card where (a) we decline your application after payment, (b) we cancel the reservation ourselves, or (c) we are unable to supply the reserved vehicle on your collection date through our fault (for example, the vehicle becomes unfit for hire or is no longer available). Refunds are processed manually via Stripe and normally appear within 5–10 working days.
  • Abandoned checkouts. Starting a checkout session does not, by itself, reserve the vehicle. If payment is not completed within 1 hour, the pending request is cleared automatically and the vehicle remains available to others. No fee is charged in that case because no payment has been taken.
  • Account requirement. You must be logged in to a registered customer account to start a reservation. Account approval and identity-verification rules in section 4 still apply; this first week's rent payment does not bypass approval and does not guarantee a hire if you fail later checks.

Consumer law note. Vehicle hire is a contract for the supply of transport services. Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (Schedule 2, paragraph (h)), contracts for the rental of vehicles are excluded from the 14-day right to cancel that normally applies to distance and off-premises contracts. The cancellation rules in this section 4A therefore apply in place of any general cooling-off right. Nothing in this section limits any non-excludable rights you may have under the Consumer Rights Act 2015 (for example, where the service is not performed with reasonable care and skill).

5. The Hire Agreement

5.1 Hire model

Rent is priced by the week, with hire duration and minimum commitments recorded on the signed Hire Agreement. Public starting weekly prices are based on the 6–12 month hire option unless stated otherwise; other terms may cost more. Choosing to pay for 7, 14 or 28 days at a time changes payment frequency, not hire duration, notice or minimum commitment.

5.2 Precedence

If there is any conflict between these Terms and the signed Hire Agreement, the signed Hire Agreement governs the day-to-day hire relationship. These Terms continue to apply for everything else.

5.3 Named driver only

Only the named Driver on the Hire Agreement may drive the Vehicle. Sub-hire, lending, swapping or sharing the Vehicle with another driver is strictly prohibited and will end the hire and trigger immediate vehicle recovery.

6. Advance Payments, Payment-Day Changes & Late Charges

Rent is payable in advance on the due date. Checkout initially covers one week. After checkout, eligible active hirers can choose weekly (7 days), fortnightly (14 days) or every four weeks (28 days) on the payment screen. “Monthly” in this payment choice means 28 days, not a calendar month. Pay the quoted amount for the selected period on your payment date. Partial final periods, existing paid weeks, offers and credits are accounted for in the quotation.

Saving a default is not making a payment. It remembers your preferred period for future quotations; it does not collect funds, settle rent or by itself move your payment day. Check the dates covered and total before selecting the separate payment button. Payment is recorded only after server verification; returning from Stripe alone does not establish success. Hire payment statements show recorded payments and available matching receipt evidence, not VAT invoices unless expressly identified as such.

6.1 Changing your payment day

An eligible active hirer may move the payment day forward only, once per hire, resetting on a genuinely new hire. The quotation shows the extra days, additional rent (weekly rent ÷ 7 × extra days), applicable insurance and online total, taking account of the current schedule and offer where applicable. Choosing a date or confirming a request does not change the schedule: the full quoted extra-day amount must be verified as paid before the new dates take effect and the one-change allowance is used. No separate admin approval is required for this paid change. Failed, cancelled or incomplete payments do not complete it. Until completion, keep paying on the original dates; schedules needing review may prevent a change.

6.2 Payment breakdown

The quotation distinguishes car rent, eligible rent credits or offers, optional insurance and any online payment adjustment. Insurance is added at its own rate, without the rent card-fee allowance; deposits are separate and not uplifted as rent. Any additional payment-method charge must be disclosed before payment and is payable only to the extent permitted by applicable law. These Terms do not authorise a prohibited surcharge or remove statutory rights.

6.3 Late or missing payments

Accepted payment methods are recorded on your account. If payment is not received by the agreed due date:

  • A late-payment fee may be added in line with our published rates;
  • The Vehicle may be remotely immobilised after a short grace period;
  • Continued non-payment will lead to repossession of the Vehicle without further notice;
  • Outstanding balances will be deducted from the security deposit and the difference (if any) pursued as a debt.

Repeated late or missed payments will result in suspension of the Driver's account and a referral to debt collection where appropriate.

7. Security Deposit

A refundable security deposit is taken before collection. The amount depends on the Vehicle and is confirmed in writing. The deposit is returned within 14 working days of the Vehicle being signed back in, less any of the following lawful deductions:

  • Damage to the Vehicle beyond fair wear and tear;
  • Unpaid hire, late fees or recovery costs;
  • PCN administration fees and any underlying contravention amounts paid by us on your behalf;
  • Missing fuel or AdBlue and any cleaning charge if the Vehicle is returned excessively dirty (interior soiling, smoking residue, pet hair, etc.);
  • Lost keys, lost V5, missing accessories.

Deposit collection is recorded at checkout. At check-in we record the repayment request and obtain the account holder name, sort code and account number needed for a bank transfer. Closing the hire does not close the deposit record. “Pending refund” means repayment awaits action, not that money has been sent. It remains tracked until actual repayment is recorded with its amount, method and date. A release request does not automatically issue a Stripe refund or bank transfer.

8. Vehicle Condition, Damage & Wear

You must return the Vehicle in the same condition as received, fair wear and tear excepted. We use BVRLA-style fair-wear-and-tear principles as our reference. A walk-around inspection, including video and photos, is completed at both collection (check-out) and return (check-in), and you will be asked to sign these off. Any damage identified at check-in beyond fair wear and tear will be charged at cost (parts, labour, paint), with photographic evidence.

Mileage evidence. Odometer readings are recorded at checkout and check-in with audited corrections. If customer photo checks are enabled, active hirers must take a fresh in-browser camera photograph of the dashboard when a 28-day checkpoint is due before continuing to the dashboard; choosing an existing image is not supported. This check is independent of payments and does not apply to ended hires. AI reads the odometer and units; unclear or inconsistent readings may require another photo or office review. Take photos only while safely parked. Contact the office if a camera is unavailable or a reading is wrong. Periodic customer checks apply only while the feature is enabled.

9. Permitted Use & Restrictions

Vehicles may only be used for licensed private hire work in the United Kingdom. You must not:

  • Use the Vehicle outside the UK;
  • Use the Vehicle on any platform or contract not permitted by your insurance schedule;
  • Sub-hire, lease, lend or share the Vehicle;
  • Use the Vehicle for racing, rallying, off-road driving, towing (unless expressly permitted), driving instruction or any unlawful purpose;
  • Drive the Vehicle while your driving licence or PCO/PHV badge is suspended, expired or revoked;
  • Modify the Vehicle, fit aftermarket parts, livery, signage or dash cams without our written consent;
  • Smoke, vape or allow passengers to smoke or vape inside the Vehicle;
  • Carry pets inside the Vehicle without consent (assistance dogs are always permitted by law);
  • Drive while under the influence of alcohol, drugs or any substance impairing fitness to drive.

10. Insurance

You must have valid insurance for the Vehicle, named Driver and licensed private-hire use throughout the hire. Where offered, choose insurance arranged through our nominated provider or supply your own acceptable cover, subject to verification. The policy documents identify the insurer and cover; VDrive is not the insurer merely because it collects payment.

Optional insurance payments. The current optional charge is £100 per week, added separately to rent: £200 for 14 days or £400 for 28 days. For payment-day changes, insurance is calculated at the hire's saved weekly insurance rate ÷ 7 for the additional insured days, rounded to pennies. Billing follows the hire's recorded insurance effective date. Car-only hire does not include this cover. Existing hires follow their saved election, rate and effective date, not a retrospective charge created by this wording.

Enrolment and documents. Necessary details are sent to the authorised insurance contact, including licence front/back, PHV licence, contact details, National Insurance number where required, declared claims/points, vehicle make/model/value and proposed pickup/start date. The system releases the provider certificate and permission letter only after an authenticated reply from the configured insurance contact is matched to the hire and confirms enrolment. An unmatched email, the word “added” alone, selecting insurance or paying does not establish that cover has started. Do not drive until valid cover and its start date have been confirmed. The permission letter identifies the relevant insurance company, not VDrive as insurer.

Declare motoring convictions, licence endorsements, claims history and medical conditions affecting fitness to drive at the start and as they arise. Misdeclaration that invalidates cover may leave you liable for resulting losses. Driving uninsured or outside the policy's named-driver, licensing or permitted-use conditions is a serious breach.

The following excess terms apply to our arranged cover, subject to the applicable policy and signed agreement; an accepted customer's own policy may have different terms:

  • Non-fault claim (where a third party is fully liable and accepts responsibility): £500 excess.
  • Fault claim (where you are wholly or partly at fault, or where liability is disputed or unresolved): £1,000 excess, plus any additional costs directly attributable to the incident that are not covered by the insurer. These additional costs include, but are not limited to: vehicle recovery and towing fees, roadside storage charges, loss-adjuster or engineer inspection fees, and any other third-party charges incurred as a result of the incident.

Excess payments are invoiced separately and must be settled within 14 days of demand. Failure to pay will result in the amount being deducted from your security deposit and, where insufficient, referred to our debt-recovery process.

Where VDrive Private Hire arranges and pays for vehicle recovery on your behalf, whether or not the incident is your fault, the full recovery cost is a debt immediately due from you. This amount is in addition to any applicable policy excess and will be invoiced and recovered accordingly.

Where a fault determination has been recorded on your account (see section 15K for post-termination survival of this obligation), your account will be suspended and you will be unable to be checked into a new vehicle until the excess is paid in full or formally waived by VDrive Private Hire. The status of any open claim and the outstanding excess amount are visible in your customer portal.

10A. Referral Credits and Vehicle Offers

For new referrals under the first-checkout programme, a new driver enters the referring customer's code at their first vehicle checkout, before paying their first week in advance. The configured new-driver discount applies immediately, up to that first week's eligible car rent, after any vehicle offer. Insurance and the deposit are not discounted. Any rent card-fee allowance is calculated on the remaining payable car rent. A code cannot be added retrospectively or used for an existing hire.

The referring customer receives the configured rent credit only after the referred driver completes 28 qualifying hire days with all four weeks settled. Paying four weeks early does not shorten this wait. The referrer need not complete another hire cycle or have an active hire to earn it. Early returns, unpaid rent, refunds, disputes and identity or evidence concerns can prevent or suspend qualification pending review. The new driver does not receive a second reward after day 28.

Earlier accepted referrals keep their saved programme conditions, including any rule requiring both drivers to qualify. Turning off new referrals does not remove previously earned credit or rewrite accepted terms. Rewards are promotional rent credit, not cash withdrawals, and do not cover insurance, deposits, fines or payment-day change charges. Programme availability and amounts are controlled in the admin settings; each accepted referral retains its agreed amounts and rules.

Vehicle offers cover all eligible available vehicles or selected vehicles. Each offer states its claim expiry and whether discounted car rent lasts for the first specified weeks or the full agreed hire. The claim deadline is not the discount duration. Saved booking/hire terms determine the benefit and later normal rent. The first prepaid week counts towards the benefit; changing payment day or frequency does not restart it. Insurance, deposits and other charges remain separate unless expressly included. Review the quote for how offers and eligible credits apply together.

Customer eligibility. A public vehicle offer may be for new customers only, existing customers only, or both, as displayed with the offer. An existing customer includes one with a previous linked hire or verified paid reservation. Eligibility is checked against account and linked hire/payment records before a new quote is accepted; creating another account does not reset it. The selected vehicle, hire length and any other stated offer conditions must also qualify. Normal agreed car rent resumes after a limited discount ends.

10B. Personal Caller Offer Codes

Personal caller codes are separate from referral codes and are for an eligible new customer's first hire only. Each code allows one confirmed redemption and specifies eligible available vehicles, eligible hire lengths (for example, three months or the 6–12 month option), the percentage reduction, the number of discounted weeks and its claim deadline. Any stated named-customer restriction also applies. Enter the code before payment; it cannot be added retrospectively to a completed payment. A personal offer cannot be combined with a referral discount or another vehicle offer: the accepted personal-offer quote replaces the public vehicle offer for that booking. Insurance, deposits and other charges are not discounted unless expressly included.

Offer start and expiry dates/times are shown in UK local time (GMT/BST as applicable). An accepted personal-code checkout quote is held for up to 35 minutes. An expired unpaid quote requires a fresh price and eligibility check. Entering a code, opening Stripe or returning to the website does not establish a successful payment. Provider verification and reconciliation determine settlement; a payment whose outcome is uncertain does not release a claimed code for another customer.

Editing, pausing, ending or archiving an offer changes future claims, not the discount already accepted on a paid booking or hire. Accepted terms determine the benefit and normal rent afterwards. False identities, self-referrals or attempts to bypass eligibility or redemption restrictions may require office review. These checks do not remove statutory rights or existing verified payment evidence. Earlier signed agreements retain their accepted wording; a new page version is not retrospective acceptance of changed contractual terms.

11. Penalty Charge Notices, Fines & Tickets

As registered keeper, VDrive Private Hire (or the Partner) initially receives all PCNs, congestion-charge / ULEZ / clean-air-zone notices, dart-charge notices, bus-lane charges, parking charges, red-route fines and speeding notices issued against the Vehicle. Where the contravention occurred during your Hire Period, liability is transferred to you on record at the time of the offence and a non-refundable administration fee per notice is charged in addition to the underlying amount. Failure to settle PCN charges promptly may result in:

  • The amount being deducted from your security deposit;
  • Your account being auto-blocked from collecting another vehicle until cleared;
  • Vehicle recovery and termination of the Hire Agreement;
  • Referral to a debt-recovery agency.

12. Fuel, AdBlue, Tyres, Servicing & MOT

Fuel and AdBlue are the Driver's responsibility throughout the Hire Period. Routine servicing and MOT are scheduled by VDrive Private Hire (for our own vehicles) or by the Partner (for Partner vehicles); you are required to make the Vehicle available for these appointments. Tyres must be maintained at legal tread depth; punctures and damage caused during hire are the Driver's responsibility. Any defect (warning light, unusual noise, fluid leak, brake feel) must be reported to us immediately and the Vehicle taken off the road until inspected.

13. Accidents & Breakdown

All accidents, however minor, must be reported to us within 24 hours, with photographs of all vehicles involved, the scene, registration plates, and the contact and insurance details of any other party. Do not admit liability at the scene. In the event of breakdown, contact our 24-hour line for instructions. Recovery of the Vehicle to a safe location is normally arranged through the fleet insurer or our nominated recovery partner; charges may apply where the breakdown was caused by Driver action (wrong fuel, kerbed wheel, lost keys, misfuelling, flat battery from accessories, etc.). Where an accident is found to be your fault or where liability is disputed, all recovery, towing and storage costs are charged to you in addition to the fault excess set out in section 10.

14. Driver Conduct

You must comply at all times with the TfL or local council code of conduct, the Highway Code, and all applicable UK road-traffic and licensing law. Anti-social behaviour, hate speech, harassment of passengers or our staff, or any conduct that brings VDrive Private Hire or our Partner into disrepute is a serious breach of these Terms and may result in immediate termination of hire.

15. Termination, Vehicle Return & Recovery

Scheduled returns and onward bookings

Return-appointment terms: 28 October 2026. Active hirers can confirm a UK date and time through their dashboard, giving at least seven full calendar days’ notice (the same UK local time seven days later or later). Appointments use the office’s 09:00–16:00 slots. The vehicle may be advertised for onward collection from 09:00 on the following UK calendar day. Once another reservation or payment attempt relies on the appointment, changes and cancellation require office assistance.

Confirming an appointment does not physically check in the car, stop rent, cancel outstanding balances or refund a deposit. Only staff check-in records the actual return. Existing minimum hire lengths and accepted early-termination obligations remain separate. Repairs, insurance, licensing and safety checks may delay onward availability.

Missed-return assessment: failure to return at the agreed appointment may lead to a £50 late-return charge plus £25 administration (£75 total), only where lawfully due, reasonable and proportionate. The office must review the circumstances, company-caused delays, evidence of an on-time return and disputes, and may waive the charge. Do not recover the same loss or administration cost twice, including through an early-termination fee. This is not automatic whole-deposit forfeiture or card-debit authority.

Contact the office promptly if you cannot return as agreed. New return-specific conditions require explicit acceptance at confirmation and are retained with the appointment; this page does not rewrite a previously signed agreement or accepted booking. The fixed-charge wording requires UK legal review before operational billing.

15.1 Early termination of an agreed fixed-minimum hire

Early-termination update: 27 October 2026. Where a fixed minimum hire length and this charge are expressly disclosed and accepted for your hire, choosing to end before that minimum is completed may result in a charge of one week of normal, undiscounted car rent plus a £25 administration fee, subject to applicable law and a reasonable, proportionate assessment. Normal car rent excludes insurance, the deposit and any card-fee allowance. The same rule applies whether or not you used a public vehicle offer, personal caller code or referral discount. No minimum term is created for a rolling or open-ended hire merely by this clause.

Example: if normal car rent is £200 per week, the assessment is £200 + £25 = £225, even if you previously paid discounted rent. Previous discounts are not reclaimed. Unused future discounts and all remaining future fixed-term rent are not added under this policy. Changing payment frequency or payment day does not change the minimum hire length.

No duplicate recovery. Any overlapping notice-period rent or recovery for the same loss is credited against the assessment. The one-week charge and £25 fee must not duplicate other termination or administration charges. Other independently incurred lawful liabilities must be itemised separately. A fee is not automatically reasonable or enforceable merely because it is written in these Terms.

Exceptions and deposit handling. This charge does not arise merely because you end a rolling hire with compliant notice, complete the agreed minimum, miss a promotional claim deadline or fail to earn a referral reward. Your statutory rights and any lawful right to end without this charge, including because of our breach, remain unaffected. We provide an itemised statement and consider disputes before making lawful deposit deductions. Any remaining deposit is returned under section 7; any lawfully owed shortfall is identified separately. There is no automatic whole-deposit forfeiture or automatic card-debit authority. A referrer is not charged for another driver's termination.

Earlier agreements. This wording applies only where disclosed and expressly accepted for the relevant hire. Reading this notice, dismissing a banner or accepting cookies does not vary an existing booking or signed agreement. Any variation must follow the applicable lawful notice and express-agreement process. Existing payment evidence, accepted discounts and earlier signed wording remain unchanged. We recommend independent UK legal advice before relying on an early-termination clause.

Either party may end a rolling weekly hire by giving the notice set out in the Hire Agreement (typically 7 days). At the end of hire, the Vehicle must be returned, clean and fuelled, to the address and within the time window we confirm. A late-return fee applies for unauthorised retention. We reserve the right to recover the Vehicle immediately and without further notice in the event of:

  • Missed or partial advance rent payments;
  • Driving licence or PCO/PHV badge suspension, revocation or expiry;
  • Misuse of the Vehicle, sub-hire or unauthorised driving;
  • Fraudulent activity, false documentation, or repeated dishonesty;
  • Material breach of these Terms or the Hire Agreement;
  • Reasonable grounds to believe the Vehicle is at risk of theft, damage or unlawful use.

15A. Entire Agreement

These Terms of Service and the signed Hire Agreement (together with any signed Partner Agreement where applicable) constitute the entire agreement between the parties relating to their subject matter and supersede all prior representations, discussions, correspondence, negotiations, drafts, agreements, memoranda of understanding, and arrangements, whether oral or written, including anything on our website, in promotional materials, or said by any VDrive Private Hire representative before the agreement was signed. You confirm that you have not entered into this agreement on the basis of any representation, warranty, or statement that is not expressly set out in these Terms or in the signed Hire Agreement.

15B. Waiver

A failure or delay by VDrive Private Hire to exercise any right or remedy under these Terms or the Hire Agreement on any one occasion does not constitute a waiver of that right or remedy and will not prevent VDrive Private Hire from exercising it on any subsequent occasion. No single or partial exercise of any right or remedy precludes any other or further exercise of it or the exercise of any other right or remedy. A waiver is only effective if it is in writing signed by an authorised VDrive Private Hire representative.

15C. Severability

If any provision of these Terms or the Hire Agreement is found by a court or tribunal of competent jurisdiction to be invalid, void, illegal, or unenforceable in any respect, that provision will be severed from the remaining provisions and the rest of these Terms and the Hire Agreement will remain in full force and effect as if the invalid provision had not been included.

15D. Third-Party Rights

A person who is not a party to these Terms has no right to enforce any of their provisions under the Contracts (Rights of Third Parties) Act 1999. The rights of the parties to rescind or vary these Terms are not subject to the consent of any other person.

15E. Service of Notices

Any notice, demand, payment request, termination notice, or other communication under these Terms or the Hire Agreement may be served by VDrive Private Hire to the Driver by any of the following methods, and will be deemed received at the time indicated:

  • Email (to the address on the Driver's account): upon sending, provided no delivery-failure notice is received within 24 hours;
  • WhatsApp or SMS (to the mobile number on the Driver's account): upon sending;
  • First-class post (to the Driver's registered address): 2 clear business days after posting;
  • In person: upon delivery.

It is the Driver's responsibility to keep their contact details up to date on their account. VDrive Private Hire is entitled to rely on the last contact details provided; failure to receive a notice because contact details are out of date does not affect the validity of the notice.

15F. Telematics, GPS Tracking & Remote Immobilisation

All Vehicles in the VDrive Private Hire fleet are fitted with a GPS telematics device. By signing the Hire Agreement, the Driver gives their express, informed consent to the following processing for the duration of the Hire Period and for a reasonable period thereafter for legal, insurance and debt-recovery purposes:

  • Continuous recording of the Vehicle's location, speed, journey history, mileage and engine/ignition status;
  • Use of that data for fleet management, payment enforcement, PCN administration, accident investigation, repossession, and regulatory compliance;
  • Remote immobilisation of the Vehicle's engine relay in the circumstances set out in these Terms (non-payment, serious breach, repossession instruction);
  • Disclosure of location and journey data to police, courts, insurers, or other authorities where required by law or in connection with a legal proceeding.

Telematics data is personal data and is processed by VDrive Private Hire as data controller in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Full details of retention periods, data-subject rights (including the right of access, rectification and erasure), and the lawful basis for processing are set out in our Privacy Policy. VDrive Private Hire is registered with the Information Commissioner's Office (ICO) as a data controller. Any attempt to tamper with, disable, or obstruct the telematics device is a serious breach of these Terms, will end the hire immediately, and may constitute a criminal offence.

15G. Employment Status

The relationship created by the Hire Agreement is a contract of bailment: VDrive Private Hire bails the Vehicle to the Driver for the Hire Period in return for weekly hire payments. This relationship does not create, and must not be construed as creating, any employment, worker, agency, partnership, joint venture, or principal/agent relationship between VDrive Private Hire and the Driver. The Driver is and remains self-employed and is solely responsible for their own income tax, National Insurance contributions, VAT (if applicable), employer and public liability insurance, and compliance with all obligations applicable to their status as a self-employed individual. VDrive Private Hire has no responsibility for the Driver's earnings, working hours, tax affairs, or social-security contributions.

15H. Criminal Use & Vehicle Seizure by Authorities

Using the Vehicle for any criminal purpose, including but not limited to carrying or transporting controlled drugs, county-lines activity, human trafficking, sex work, theft, fraud, or any offence under the Proceeds of Crime Act 2002, is a fundamental breach of these Terms. VDrive Private Hire will terminate the hire immediately and report the matter to the relevant authorities.

If the Vehicle is seized, impounded, or detained by any public authority (including but not limited to the Police, DVLA, HMRC, the National Crime Agency, or a local council) as a result of or in connection with the Driver's actions, conduct, or failure to comply with applicable law, all of the following costs are the Driver's sole liability and must be paid in full before the security deposit is returned:

  • All vehicle recovery, towing, and transportation costs;
  • All impound yard and daily storage charges;
  • All fines, penalties, and court-imposed costs;
  • All legal and professional costs incurred by VDrive Private Hire in recovering the Vehicle or defending any proceedings;
  • Any loss of hire income for the period the Vehicle is off the road as a result of seizure.

VDrive Private Hire will cooperate fully with any investigation by the relevant authorities and will provide any records, telematics data, or documentation requested.

15I. Personal Property in a Recovered or Returned Vehicle

VDrive Private Hire accepts no responsibility for any personal property, belongings, documents, equipment, or other items left in the Vehicle at the time of return, repossession, or seizure. Where a Vehicle is recovered from the Driver, we will attempt to hold any personal property found in the Vehicle for a period of 7 calendar days from the date of recovery, during which time the Driver (or an authorised representative) may arrange collection by appointment. After that 7-day period, any uncollected items may be disposed of at our discretion and without further notice. VDrive Private Hire will not be liable for any loss, damage or disposal of such items.

15J. Repossession: Driver's Express Consent

By signing the Hire Agreement, the Driver expressly authorises VDrive Private Hire and any recovery agent or sub-contractor acting on its behalf to collect and take possession of the Vehicle from any location at which it may be found, including private property, where VDrive Private Hire is entitled to recover the Vehicle under these Terms. The Driver agrees to procure any necessary permission from any third-party landlord, property owner, or operator to enable such recovery and to indemnify VDrive Private Hire against any claim, cost, or liability arising from a third party in connection with the recovery. This consent is irrevocable for the duration of the Hire Agreement and for so long as any amount remains outstanding.

15K. Survival of Financial Obligations After Termination

Termination of the Hire Agreement, however it arises, does not extinguish or reduce any financial obligation that accrued during the Hire Period or that arises as a consequence of the hire. In particular, the following obligations survive termination and remain fully enforceable:

  • Outstanding weekly hire, late fees, and early-termination fees;
  • PCNs, fines, congestion charges, ULEZ/clean-air-zone charges, and administration fees relating to contraventions that occurred during the Hire Period, even if the notice is received by VDrive Private Hire after the Vehicle has been returned;
  • Damage charges identified at the check-in inspection or discovered within a reasonable time thereafter;
  • Insurance excess amounts raised in connection with accidents that occurred during the Hire Period;
  • Vehicle recovery, storage, cleaning, and legal costs;
  • Any deposit shortfall remaining after lawful deductions.

All surviving obligations are payable on demand and, if unpaid, may be referred to debt collection or legal proceedings without further notice.

15L. Late Payment Interest & Recovery Costs

Without prejudice to any other remedy available to VDrive Private Hire, all sums not paid by the Driver on the due date carry interest at the statutory rate of 8% per annum above the Bank of England base rate, accruing daily from the due date until payment in full, pursuant to the Late Payment of Commercial Debts (Interest) Act 1998 (or, for consumers, at our contractual rate of 8% per annum above Bank of England base rate). VDrive Private Hire is also entitled to recover from the Driver all reasonable costs of recovering unpaid sums, including debt-collection agency fees, solicitor's fees, court fees, and enforcement costs, in addition to the principal debt and interest.

15M. Sub-contracting

VDrive Private Hire may, without the Driver's consent, sub-contract or delegate any of its operational obligations under these Terms or the Hire Agreement to third parties, including debt-collection agencies, vehicle recovery and repossession agents, telematics providers, and maintenance contractors. VDrive Private Hire remains responsible to the Driver for the proper performance of any sub-contracted obligation.

15N. Variation

No amendment, variation, or modification to the signed Hire Agreement is valid or binding unless it is made in writing and signed by an authorised representative of VDrive Private Hire. Verbal agreements, text messages, WhatsApp messages, or emails from non-authorised personnel do not constitute a binding variation of the Hire Agreement. These Terms of Service may be updated in accordance with section 21.

15O. Damage Dispute Procedure

If the Driver wishes to challenge any damage charge identified at check-in, they must raise a formal written dispute by emailing admin@vdrive.uk with the subject line "Damage Dispute - [vehicle registration] - [hire agreement reference]" within 48 hours of the check-in inspection. The dispute must include the Driver's reasons and any supporting photographic or video evidence. After the 48-hour window, the check-in inspection record (photos + video) will be deemed accepted by the Driver and no further challenge will be entertained, without prejudice to VDrive Private Hire's right to recover the charges in full. VDrive Private Hire will acknowledge the dispute within 3 working days and respond substantively within 14 working days.

16. Partner Companies: Scope of Service & Liability

VDrive Private Hire provides an operational management service to vehicle-owning Partners. We make sure the day-to-day hire of your vehicles runs smoothly. We do not take on the commercial, financial or legal risk that sits with you as the vehicle owner. The split is set out below so we can both run a clean, professional operation.

16.1 What VDrive Private Hire does for you

We perform the following with reasonable skill and care:

  • Listing your Vehicle on our platform and marketing it to qualified drivers;
  • Vetting and onboarding drivers (identity, licence and PCO/PHV checks);
  • Carrying out a documented check-out inspection (photo + video) when the Vehicle is collected;
  • Carrying out a documented check-in inspection (photo + video) when the Vehicle is returned;
  • Collecting weekly hire payments from drivers and remitting the agreed share to you, net of the platform fee set out at clause 16.14;
  • Logging and routing PCNs, congestion charge, ULEZ, clean-air-zone, dart charge, bus-lane, parking and speeding notices to the responsible driver, and applying our admin fee;
  • Chasing late or failed driver payments (reminders, late fees, immobilisation);
  • Repossessing your Vehicle from the driver where the hire contract is breached and recovery is contractually permitted;
  • Maintaining hire records and providing partner reporting and dashboards.

16.2 What you, as the Partner, remain fully responsible for

The following stay your responsibility throughout; VDrive Private Hire is not liable for any of them:

  • Roadworthiness and condition of the Vehicle, including service history;
  • All maintenance and running costs: routine servicing, oil and filter changes, brake pads/discs, tyres (punctures, replacement, balancing, alignment), wipers, bulbs, batteries, AdBlue, coolant, software/recall updates, mechanical and electrical repairs, bodywork, paint, valeting, manufacturer recall work;
  • All licensing, certification and renewal costs and arrangements: PCO/PHV vehicle licence, vehicle plate, council/TfL operator and vehicle compliance, road tax (VED), motor insurance renewal, hire-and-reward cover, MOT certification (preparation, test and any re-test fees), congestion-charge / ULEZ / clean-air-zone account fees, and any other regulatory permit, inspection, certificate or renewal required to keep the Vehicle lawfully on hire;
  • Ownership and finance: V5 in your name, finance/lease/HP repayments, depreciation, residual value;
  • Loss of earnings during downtime, repair, servicing, plate renewal, driver changeover or any period the Vehicle is off the road;
  • Theft of the Vehicle (subject to your own insurance);
  • Accident damage and excess, premium increases, no-claims-discount loss;
  • Mechanical failure or breakdown;
  • Tax on your earnings (VAT, corporation tax, self-assessment);
  • Your own employees, contractors, agents and sub-contractors.

VDrive Private Hire does not pay for, organise, or contribute towards any maintenance, servicing, tyre, repair, MOT, plate, road tax, insurance, ULEZ or licensing work on a Partner vehicle. These are the Partner's cost and arrangement at all times.

16.3 Failed and missed driver payments

We will use commercially reasonable efforts to recover any sums owed by drivers: automated reminders, late fees, immobilisation, repossession, and (where appropriate) referral to debt collection. We do not guarantee recovery and we are not liable to the Partner for unpaid hire, shortfall, bad debt, write-offs or any sums the driver fails to pay, regardless of the cause. Hire amounts are remitted to the Partner on a received basis only; we only pay across what we have actually collected.

16.4 PCNs, fines and charges

We allocate PCNs and similar notices to the responsible driver on record at the time of the contravention and apply our admin fee. We are not liable for the underlying amount, any escalation, court costs, bailiff action, or charges levied directly against the registered keeper. The Partner remains the registered keeper and ultimately liable to the issuing authority where the driver does not pay.

16.5 Insurance and accidents

VDrive Private Hire is not the Partner's insurer and does not act as an insurance intermediary. We are not liable for any uninsured loss, excess, premium increase, no-claims-discount loss, total-loss settlement, gap-insurance shortfall, or refusal of cover by an underwriter. Accident reporting, claims and recoveries are the Partner's responsibility, working directly with their own underwriter or broker. We will, on request, share the documentation, photos and video evidence we hold to support the Partner's claim.

16.6 Vehicle damage and condition

Our check-out and check-in records (photos + video) are evidential and form the basis of any deposit deduction. VDrive Private Hire is not liable for damage caused by the driver beyond what is recoverable from the driver's deposit and reasonable debt pursuit; nor for fair wear and tear, mechanical failure, tyre punctures, AdBlue, fuel or consumables.

16.7 Repossession and enforcement

We will attempt to recover your Vehicle when the hire contract is breached, but we are not liable for vehicles that cannot be located, are taken outside England & Wales, are damaged or stripped before recovery, or are subject to police, customs, council, court or third-party seizure. Reasonable recovery and storage costs may be charged onwards to the Partner where appropriate.

16.8 Platform availability

The platform, partner dashboard and reporting tools are provided "as is" on a best-efforts basis. We are not liable for downtime, data loss caused by user error, or third-party outages (hosting, payment processors, telecoms providers).

16.9 Indirect and consequential loss

VDrive Private Hire is not liable to the Partner for loss of profit, loss of contracts, loss of opportunity, loss of goodwill or reputation, business interruption, or any indirect, special or consequential loss, however arising.

16.10 Cap on liability

VDrive Private Hire's total aggregate liability to the Partner under the partner relationship in any 12-month period is limited to the management fees actually paid by that Partner to VDrive Private Hire in the preceding 12 months. Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited under English law (the Partner's statutory rights are not affected).

16.11 No partnership or agency

VDrive Private Hire acts as an independent service provider. Nothing in these Terms or in any Partner Agreement creates a partnership, joint venture, employment or agency relationship between VDrive Private Hire and the Partner. Each party is responsible for its own taxes and liabilities.

16.12 Indemnity

The Partner agrees to keep VDrive Private Hire harmless from third-party claims arising out of the Partner's vehicle, ownership, finance, insurance, regulatory non-compliance or anything outside VDrive Private Hire's defined scope of service set out at 16.1.

16.13 Order of precedence

If there is any conflict between these Terms and a signed bilateral Partner Agreement, the bilateral Partner Agreement takes precedence. Where there is no signed bilateral Partner Agreement, these Terms apply in full.

16.14 Platform fee, billing cycle and net payouts

The Partner's recorded commercial agreement specifies either a fixed weekly fee accrued by billable days on hire (weekly fee ÷ 7), or a percentage of eligible car rent actually collected. No single fixed price or universal £80 maximum applies to every partner. Percentage fees exclude unpaid/billed-only rent, insurance, deposits, damage charges and online card-fee allowances; eligible rent receipts include recorded extra-day car rent. Amounts are rounded to pennies. The signed bilateral agreement takes precedence under section 16.13.

Fees use per-vehicle rolling 28-day cycles, anchored to that vehicle's first hire, not calendar months. For fixed fees, completed billable hire days count; the checkout day is included and check-in day excluded. Off-hire days do not accrue a fixed fee. Percentage fees follow eligible receipts attributed to the cycle by their recorded paid date, not the date rent was billed.

Cycles close and produce fee and payout records under the agreed arrangements. Invoices identify the applicable fee basis; recorded registration credits and authorised deductions are shown separately. Net payouts reflect actual collected car rent less the applicable platform fee and recorded deductions/credits, not unpaid promised rent. Bank remittance is made under the onboarding pack or signed Partner Agreement, not simply because a cycle closes.

On the same 28-day cycle, VDrive Private Hire calculates a net payout per vehicle, being the gross weekly hire actually collected from the driver inside that cycle window (excluding deposits and damage charges) less the matching platform fee for the same cycle. Net payouts are remitted to the Partner by bank transfer in line with the Partner's onboarding pack. Remittance is on a received basis only (clause 16.3); unpaid hire that has not been collected from the driver is not included in the payout. Both the platform-fee invoice and the matching net-payout record are visible to the Partner on the partner dashboard.

A saved future fee agreement applies to each partner vehicle at its next cycle starting on or after the effective date; vehicles may therefore switch on different dates. Existing open cycles retain their agreed basis, and paid invoices/payouts are not silently rewritten. Later receipt corrections may require a separately reviewed reconciliation. Selecting a fee type or editing an illustrative preview does not save an agreement. Changes remain subject to at least 30 days' written notice under section 21 unless a valid express agreement permits otherwise; scheduling a date in software is not evidence that contractual notice or consent has been satisfied.

17. Liability (Drivers)

For Drivers, VDrive Private Hire's liability in connection with the website, the application process and the hire is limited to the amount you have paid us in the 3 months preceding any claim. We are not liable for indirect, consequential or economic loss, loss of earnings, or loss of opportunity arising from use of our services or vehicles. Nothing in these Terms limits liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot lawfully be limited under English law. Your statutory rights as a consumer (where applicable) are not affected.

18. Force Majeure

Neither party is liable for any failure or delay caused by events beyond reasonable control, including (but not limited to) acts of God, severe weather, fire, flood, pandemic, war, terrorism, civil disorder, industrial action, government action, fuel shortages, or major outage of telecoms, power or third-party platforms.

19. Complaints & Dispute Resolution

If you have a complaint, please email admin@vdrive.uk with the subject line "Complaint - [your name]". We aim to acknowledge complaints within 3 working days and respond substantively within 14 working days. If we cannot resolve a complaint between us:

  • Licensing matters can be escalated to your local licensing authority (TfL or your council);
  • General consumer matters can be referred to Citizens Advice (citizensadvice.org.uk);
  • Any unresolved legal dispute will be subject to the exclusive jurisdiction of the courts of England and Wales.

20. Governing Law

These Terms of Service are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

21. Changes to These Terms

We may update these Terms from time to time. For non-material changes (typos, formatting, clearer wording), the updated Terms apply on publication. For material changes (changes to fees, scope of service, or liability allocation), we will give at least 30 days' notice by email and on this page before the new Terms take effect.
